The candidate will provide legal support for the day-to-day activities of the International businesses (Canada, Mexico, and Domestic Export) of the companys Consumer Foods business unit as well as specific Consumer Foods domestic businesses located at the companys Naperville, IL location. Position will be responsible for negotiating a variety of commercial agreements and marketing-related support. Position conducts legal research as needed, assists on resolution of disputes associated with support activities, and other related duties. Primary legal support for the day-to-day activities of the International businesses (Canada, Mexico and Domestic Export) of the companys Consumer Foods unit. Will support certain Consumer Foods domestic businesses TBD located at the companys Naperville, IL location. Will assist in supporting strategic imperatives for the assigned businesses. Specific support activities for the assigned businesses will include: Development and/or review of a variety of commercial agreements, including distribution, broker, supply, licensing, joint venture, consultancy, services, and marketing-related (e.g., sponsorships, advertising, joint promotion) agreements. Assist business partners in negotiating and finalizing agreements with third parties. Counsel on legal and corporate policy compliance for business-support activities, including compliance with contracts policy for third party vendors. Counsel on legal and corporate policy compliance for all marketing-related consumer communications intended for a variety of mediums (TV, print, and on-line) for assigned businesses, including advertising and promotional activities. Counsel on legal and corporate policy compliance for any Sales initiatives and related materials peculiar to assigned businesses. Provide guidance on all aspects of product claims establishment (such as new/improved claims, comparative/competitive claims, health & wellness-related claims, etc.), as well as handle any related challenges (both competitive and regulatory) for assigned businesses. In coordination with Omaha-based trademark paralegals, provide guidance on trademark-related matters, including clearances, protection and any related disputes. Generate correspondence and assist in resolution of disputes and other commercial issues related to support activities, with a particular focus on distributor-related issues in various International jurisdictions. Development and/or management of outside counsel network for assigned International businesses. In collaboration with business partners and supervisor, identify and implement appropriate internal legal review/support processes for assigned International businesses consistent with the companys operating principles. Research and analyze issues associated with legal support activities from various sources such as statutes, articles, and regulations. Handle other matters as directed by supervisor. Qualification and Experience The candidate should be a licensed attorney with 5+ years of experience in a law firm or corporate law-related setting handling a variety of general commercial and/or marketing-related support activities. Ideal candidate has experience or familiar with supporting International businesses, particularly in Canada and/or Mexico, and/or has experience with the food industry, including laws/regulations and industry requirements peculiar to marketing food products including food labeling, claims development and substantiation, and food advertising. Experience or familiarity with promotions involving consumer products and IP-related matters, such a trademark clearance and infringement analysis, is desirable but not essential. Experience developing and/or negotiating a wide variety of complex commercial agreements is essential. Should have willingness to travel on a limited basis, including International travel (mostly in North American region). Professional written and oral communication skills are required. Second language proficiency (particularly Spanish) highly desirable. Proficiency in the following software: MS Word, Power Point, MS Outlook will be required.
